    no, the problem is no one could run because there was no running to be had, there was no election, RN was appointed into the position by Jeff Bauer at the recommendation of Larry Green.

    I can't speak for all organizations, but I have not seen anyone who wanted to speak, not get to speak at an NSS-CDS board meeting(In my time there) they are pretty small and not that formal, all are welcome. We like membership attendance at the meetings, and appreciate the feedback.

    He said he didn't get what I was bashing, he didn't cuss me out or make a threat to my family. He kept it to the facts and gave a respectable counter argument. Your black bar gives the impression he said something way worse than what he said, when in all actuality it wasn't really uncivil.

    Well, I guess you’re right. This was not my most brilliant edit. I was probably reading it too fast and didn’t get the full context. I just put it back in.

    That may well be the case today, and hopefully it will remain so going forward at both CDS and NACD meetings. But the fact remains that it is a BOD meeting, not a general membership meeting. Thus if general members have something that they feel strongly about discussing with the BOD in a formal meeting, they would be wise to ensure that they have the support of at least one board member so as to ensure that they will be heard. This is especially true for any general member who may have to travel a significant distance to attend the meeting in question.

    I can tell you from personal experience that BODs of these organizations have not always been so open to member comments in board meetings, and have been inclined to use the fact that it was a board meeting and not a general membership meeting to prevent members from speaking. Hopefully times have changed.

    Brian,

    I can only speak to the NSS-CDS not for the NACD. As 501c3 Charities, Board meetings are open to the public and meeting minutes are to be made available upon request. Boards are allowed to have closed sessions but not as a substitute for a regular board meeting, in our case 4 a year. We have four open to the public meetings a year. Regular board meetings are to be announced 2 weeks prior to meeting date.

    TJ left out a few key words. That's the way not for profits are "SUPPOSED TO" work. The reality has been a vastly different picture in the NACD history.
