Was it brought up that the voted change of Gene's position was against bylaws?

All officer positions are up for re-election every year.

Article IV: Officers
A. Required Officers. The officers of the corporation shall include a chair, vice chair, secretary,
treasurer and two (2) program directors, training director. At the regular Annual
meeting of the directors each year, these officers shall be appointed by the board of
directors from among its members. Two officer-positions may be combined and filled by
a single director. In the performance of their executive duties, NSS-CDS officers shall be
held to the General Standards in Art. III.E.1 above.

Why not just answer a very direct question with an equally direct answer?

I like dealing with people on a personal level preferably face to face but that's not always possible so a phone call is the next best way. I would rather take the time to make sure I completely understand the question and that's usually done easiest by verbal communication.

Are there any minutes from this meeting?

Are the names and votes recorded or just pass/fail?

Did Gene follow up on his verbal resignation with a written? Per the bylaws he must resign in writing, at the meeting he did so verbally as the minutes reflect....

1. Yes as per the by-laws a board member must submit a written notice of resignation. As of today I have sent Gene two emails requesting a written notice of resignation. As of this date I have not received such written notice of resignation from Gene

I have received written notification of Gene Melton's resignation from the NSS-CDS Board this morning.
